Startup Registration

Startup Registration in Delhi:

Launching a new venture in Delhi? We help founders with complete startup registration — from choosing the right entity to getting DPIIT recognition, GST, bank account, and all local compliances. Our goal is to keep the process simple, transparent, and fast so you can focus on building your product.

Who is considered a “Startup” in India?

Under the Government of India’s Startup India initiative, an entity is treated as a startup if it’s a private limited company, LLP, or registered partnership, less than 10 years old, and with annual turnover under ₹100 crore. Recognition is issued by DPIIT (Department for Promotion of Industry and Internal Trade). This recognition unlocks benefits like tax holidays, easier IP support, and government tenders.

What’s the right structure for you?

Most Delhi founders pick one of these:

  • Private Limited Company: Best if you plan to raise funds, issue ESOPs, or scale quickly.

  • LLP: Useful for professional services and lean compliance, with limited liability.

  • Partnership Firm: Quick to set up, but limited scalability and funding options.

If you are planning VC funding, a Private Limited is usually the safest choice.

The step-by-step registration flow (Delhi)

1. Name check and DSCs

We check name availability and arrange Digital Signature Certificates for all directors/partners.

2. Company/LLP incorporation via SPICe+ (MCA)

We file the integrated SPICe+ web form on the MCA portal. SPICe+ bundles multiple services into one application, which speeds up incorporation

3. AGILE-PRO-S (INC-35) linked filings

Along with SPICe+, we file AGILE-PRO-S to apply for GSTIN (optional based on turnover), EPFO, ESIC, professional tax (where applicable), bank account, and Shops & Establishments registration where available. This helps you go from “incorporated” to “operational” faster.

4. DPIIT Startup Recognition (optional but recommended)

If you’re building something innovative or scalable, we apply for DPIIT recognition on the Startup India portal to unlock benefits like tax exemptions and credit-linked support.

5. Local Delhi registrations

If your team works from Delhi, you’ll likely need Shops & Establishments registration with the Delhi Labour Department (many applicants access this via MCA/AGILE or e-District). We help with the right route and documentation.

6. Open current account and basic policies

We finalize your bank account, founders’ agreements, and simple internal policies for finance and data handling.

Documents you’ll need

  • Founders’ PAN, Aadhaar, address proofs

  • Office address proof in Delhi (rent agreement or ownership docs + utility bill)

  • Draft business activity description (we help you refine this)

  • Capital/partner contribution plan and shareholding split

Timelines

Most private limited incorporations complete in a few working days once documents are ready. Linked registrations like GST, ESIC, and EPFO are typically processed soon after. DPIIT recognition usually follows once your profile and documents are in order.

Costs you should plan for

  • Government fees and stamp duty (based on capital and state)

  • Our professional fees (fixed, transparent)

  • Optional: logo/trademark filing, domain, and basic legal templates

We give you a written breakup so there are no surprises.

Key benefits you can unlock

Tax holiday under Section 80-IAC (for eligible startups)

DPIIT-recognized startups can claim 100% income-tax deduction for any 3 consecutive years within the first 10 years of incorporation, subject to conditions and approval under Section 80-IAC. In May 2025, the government confirmed approvals under a revamped framework and continued eligibility for entities incorporated up to March 31, 2030. We handle the paperwork so you don’t miss the window.

Easier procurement, IP support, and more

DPIIT recognition improves access to public procurement and IP facilitation. This matters when you’re pitching to large buyers or filing patents.

Do I need GST in Delhi from day one?

Not always. As of 2025, the threshold for goods is generally ₹40 lakh (normal category states), and for services it’s ₹20 lakh. Many service-first Delhi startups cross the ₹20 lakh mark later in the year. We advise you on timing so you stay compliant without over-filing. If you sell across states or via marketplaces, GST may be needed earlier.

What’s new for Delhi founders in 2025?

  • Draft Delhi Startup Policy 2025 proposes a ₹200 crore VC fund and other ecosystem incentives to make Delhi a preferred startup hub. While it’s in draft, it signals more local support for early-stage companies.

  • The Delhi Labour Department continues to digitize Shops & Establishments services, and many incorporations route the first-time registration via the MCA/AGILE flow.

  • Nationally, Startup India numbers keep rising, reflecting easier recognition and policy push — encouraging for founders planning to register this year.
